The specific scope of Services for each client is defined in a separate project agreement, proposal, or statement of work (“SOW”).

2. Eligibility

By using our website or engaging our services, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Accounts and Communications

When you submit a contact form, book a call, or engage our services, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of any access credentials shared during service delivery.

4. Payment Terms

• Service fees are outlined in your project proposal or SOW
• Payment is due as specified in the agreement (typically 50% upfront, 50% on completion for project-based work; monthly in advance for retainer services)
• All fees are in USD unless otherwise stated
• Late payments may incur a 1.5% monthly late fee
• We reserve the right to pause or terminate services for non-payment

5. Intellectual Property

5.1 Client-Owned Work Product

Upon receipt of full payment, you own the deliverables created specifically for you under any SOW, including custom code, automation workflows, and content created exclusively for your project.

5.2 Company IP

We retain ownership of all pre-existing tools, templates, frameworks, methodologies, and general-purpose components used in delivering Services. We grant you a non-exclusive license to use such components as incorporated into your deliverables.

5.3 Website Content

All content on https://chambersshop.site — including text, graphics, logos, and code — is the property of Chambers Shop and protected by applicable copyright laws. You may not reproduce or distribute it without written permission.

6. Client Responsibilities

To enable us to deliver Services effectively, you agree to:

• Provide timely access to necessary accounts, systems, and information
• Provide accurate briefs, feedback, and approvals within agreed timelines
• Ensure you have the right to provide any third-party materials or data you share with us
• Comply with all applicable laws in your use of our deliverables

We do not guarantee specific results from our services. Digital marketing, automation, and AI systems are subject to external factors beyond our control, including platform changes, algorithm updates, and market conditions.

10. Limitation of Liability

To the maximum extent permitted by law, Chambers Shop and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website — even if advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim.

11. Termination

Either party may terminate an ongoing service agreement with 30 days' written notice. We may immediately terminate or suspend access if you breach these Terms or engage in prohibited conduct. Upon termination, you remain responsible for fees incurred up to the termination date.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the United States. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under applicable rules, conducted in English.

13. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or a notice on our website. Continued use of our services after such notice constitutes acceptance.
